Welcome to DASHME (the “Platform”), proprietary financial technology platforms of Dashme Technologies LTD (“Dashme”, “we”, “us”, or “our”). By accessing and using this Platform, whether through our website https://dashme.ng or mobile application, you (“User”, “you”, or “your”) agree to be bound by these Terms and Conditions (“Terms”). We understand that legal documents can be lengthy, but it is important that you read these Terms carefully before using the Platform. By accessing or using the Platform, you (“User, ” “you,” or “your”) agree to be bound by these Terms. If you do not agree, you must discontinue use of the Platform immediately. Definitions

For the purposes of these Terms and Conditions, the following words and expressions shall have the meanings assigned to them below: “Account” or “Dashme Account” means the unique user profile created on the Platform through which a User can access the Dashme environment, interact with its functionalities, and initiate or manage transactions. The Account is not a bank account or deposit account. “App” or “Dashme App” means the mobile application and/or any digital interface made available by Dashme through which Users access and use the Platform. “Balance” means the amount displayed within a User’s Dashme Account, reflecting the value associated with the User through the Platform. This Balance is provided for informational purposes and does not represent funds held by Dashme. “Dash” means the unit of representation used within the Dashme environment to reflect value associated with a User’s Account. Dash is not a currency, electronic money, or financial instrument, and is used solely within the Platform interface. “Beneficiary” means any individual or entity designated by a User to receive value through a transaction initiated on the Platform. “Company”, “Dashme”, “we”, “us”, or “our” means Dashme Technologies LTD, a company that operates a digital platform enabling users to access and interact with transaction functionalities through a unified interface. “Partners” means third-party service providers engaged by Dashme, including licensed financial institutions and payment service providers that support the operation of financial transactions connected to the Platform. “Payment Service Providers” or “PSSPs” means licensed financial institutions authorized to process payments, hold funds, and execute financial transactions in accordance with applicable regulations. “Platform” means the Dashme website, mobile application, and any other interfaces through which the Dashme services are made available. “Transaction” means any instruction initiated by a User through the Platform in relation to value, including: (i) adding value to a User’s Account from an external financial source; (ii) transferring value between Users within the Platform; (iii) withdrawing value from the Platform to an external financial account. All Transactions are carried out through systems operated by Payment Service Providers. “Dashme Service” means the functionalities made available through the Platform, enabling Users to access, manage, and interact with transaction flows within the Dashme environment. “User”, “you”, or “your” means any individual who accesses or uses the Platform.

1. General Terms

1.1

These Terms and Conditions (“Terms”) govern your access to and use of the Dashme Platform and constitute a legally binding agreement between you and Dashme Technologies LTD. Dashme operates a digital platform that enables users to access a structured transactional environment through a unified interface. Within this environment, users can interact with transaction functionalities, manage their activity, and initiate value-related actions in a seamless manner.

1.2

The Platform allows Users to: (a) add value to their Account through external financial sources; (b) interact with other Users within the Platform through value transfers; (c) withdraw value from the Platform to external financial accounts; (d) access transaction-related information and activity history; (e) use additional features and services made available from time to time.

1.3

Interactions and transaction flows take place within the Dashme environment through the Platform interface. However, all underlying financial operations, including the processing and execution of transactions, are carried out through systems operated by licensed Payment Service Providers and financial institutions.

1.4

Dashme operates as a technology platform that provides access to and interaction with these functionalities. Dashme does not operate as a bank and does not directly provide regulated financial services.

1.5

By using the Platform, you acknowledge and agree that: (a) Dashme provides the interface and environment through which transactions are initiated and managed; (b) financial transactions are supported and processed through third-party financial institutions; (c) your use of certain functionalities may be subject to additional terms and conditions from such third parties.

1.6

Dashme may update, modify, or improve the Platform and its functionalities at any time. Continued use of the Platform constitutes acceptance of any such updates.

1.7

If you do not agree with these Terms, you must discontinue use of the Platform.

2. Scope of Services

2.1

Dashme provides a digital platform through which Users can access and interact with transaction-related functionalities within a structured environment. The Platform is designed to enable Users to initiate, manage, and monitor value-related interactions in a seamless and consistent manner through a unified interface.

2.2

Through the Platform, Users may: (a) create and manage their Account; (b) access and view their Balance and transaction activity; (c) initiate value transfers to other Users within the Platform; (d) add value to their Account using supported external payment methods; (e) withdraw value from the Platform to external financial accounts; (f) access additional features and services made available by Dashme from time to time.

2.3

The Platform facilitates interactions between Users within the Dashme environment. These interactions are reflected within the Platform interface and are supported by integrated systems.

2.4

Dashme provides the technological infrastructure and interface through which Users access these functionalities. Dashme does not independently provide financial services or operate as a financial institution.

2.5

All financial operations connected to the Platform, including the processing and execution of transactions, are carried out through licensed Payment Service Providers and financial institutions.

2.6

Dashme may introduce, modify, suspend, or discontinue any feature or functionality of the Platform at any time, without liability, subject to applicable law.

3. Accessing the Platform and the Services

3.1

Dashme makes reasonable efforts to ensure that the Platform and its functionalities are available, secure, and operating as intended. However, access to the Platform may be suspended, restricted, or interrupted from time to time due to maintenance, updates, technical issues, or factors beyond Dashme’s control.

3.2

Dashme does not guarantee that the Platform will be available at all times or that access will be uninterrupted, error-free, or free from delays. Users acknowledge that the Platform relies on integrated systems, including third-party services and financial infrastructures, which may impact performance and availability.

3.3

Users are responsible for: (a) ensuring they have the necessary devices, software, and internet connectivity to access the Platform; (b) maintaining the confidentiality and security of their login credentials; (c) ensuring that all information provided through the Platform is accurate, complete, and up to date; (d) immediately notifying Dashme of any unauthorized access or suspected security breach.

3.4

All activities carried out through a User’s Account are deemed to have been authorized by the User. Dashme shall not be responsible for any loss arising from unauthorized use of an Account where such use results from the User’s failure to safeguard their credentials.

3.5

Dashme may monitor and review Platform usage, including transaction-related activity, to ensure compliance with applicable policies, security standards, and legal requirements.

3.6

Dashme reserves the right, at its discretion, to suspend, restrict, or terminate access to the Platform or certain functionalities where necessary, including in cases of suspected misuse, security concerns, or regulatory obligations.

3.7

Access to certain features or services may depend on verification requirements or conditions imposed by Dashme or its integrated partners.

4. Membership and Registration

4.1

Eligibility. The Platform is available to individuals who have the legal capacity to enter into binding agreements under applicable law. By registering or using the Platform, you confirm that you meet these requirements. Where required, use of the Platform by minors may be subject to parental or legal guardian consent.

4.2

Account Registration . To access certain features of the Platform, Users are required to create an Account by providing accurate and complete information, including personal identification and contact details. D ashme may require additional information or documentation to verify a User’s identity or to comply with applicable legal and regulatory requirements.

4.3

Verification and Compliance Access to certain functionalities may be subject to verification procedures, including identity checks and other compliance measures. Users acknowledge that such verification processes may be carried out by Dashme and/or its Partners, including Payment Service Providers, in accordance with applicable regulations. Completion of verification does not guarantee the identity, reliability, or conduct of any User.

4.4

Account Accuracy Users are responsible for ensuring that all information provided during registration and throughout the use of the Platform remains accurate, complete, and up to date. Dashme reserves the right to request confirmation or updates of such information at any time.

4.5

Account Security Users are responsible for maintaining the confidentiality of their login credentials and for all activities conducted through their Account. Any unauthorized access or suspected breach must be reported immediately.

4.6

Usage Limits and Conditions Certain features, transaction capabilities, or access levels may be subject to limits or conditions based on factors such as verification status, regulatory requirements, or Partner policies. These limits may be modified from time to time.

4.7

Business Accounts Where an Account is created on behalf of a business or organization, the registering individual confirms that they have the authority to act on behalf of such entity.

4.8

Account Suspension or Restriction Dashme reserves the right to suspend, restrict, or terminate an Account where necessary, including in cases of: (a) breach of these Terms; (b) suspected fraudulent or unlawful activity; (c) failure to comply with verification or compliance requirements; (d) requests or obligations arising from Partners or applicable laws.

5. Payments

5.1

The Dashme Platform enables Users to access payment-related functionalities and interact with value through a unified interface. Users may add value to their Account using supported external payment methods, transfer value to other Users within the Platform, and withdraw value to external financial accounts.

5.2

Within the Dashme environment, Users can initiate and manage transactions in a seamless manner. These interactions are reflected within the Platform interface and form part of the overall user experience.

5.3

The Platform integrates with third-party financial institutions and Payment Service Providers that support the processing of financial transactions connected to these interactions.

5.4

All financial transactions, including the movement of funds to and from the Platform, are carried out through systems operated by such third-party institutions in accordance with applicable regulations.

5.5

Payment methods available on the Platform may include bank transfers, cards, mobile payment solutions, or other methods supported by integrated partners, depending on the User’s location.

5.6

Transactions may be subject to validation, authorization, limits, or delays based on applicable requirements, including those imposed by financial institutions, Payment Service Providers, or regulatory frameworks.

5.7

By using the payment functionalities of the Platform, you acknowledge that certain aspects of the transaction process are dependent on external systems and may be subject to additional terms and conditions.

5.8

Dashme may apply fees or charges for certain features or services. Any applicable fees will be communicated to Users prior to confirmation of the relevant transaction.

5.9

Users are responsible for ensuring that all transaction details are accurate before confirmation. Transactions initiated with incorrect information may not be reversible.

6. Refunds and Dispute Handling

6.1

Transactions initiated through the Platform are generally considered final once processed. However, Users may submit requests in relation to errors, disputes, or specific situations through the Dashme interface.

6.2

Dashme provides a centralized environment through which Users can initiate, track, and manage refund or dispute requests. This process is designed to offer a consistent and structured user experience within the Platform.

6.3

Dashme may review, organize, and facilitate the handling of such requests within the Platform. Where applicable, requests may be communicated to relevant Partners or Payment Service Providers involved in the underlying transaction.

6.4

The outcome, timing, and eligibility of any refund or reversal may depend on various factors, including the nature of the transaction, applicable rules, and the policies of the financial institutions involved.

6.5

Users acknowledge that certain transactions may not be reversible once completed, particularly where processing has been finalized through external financial systems.

6.6

Dashme does not guarantee the success of any refund request and shall not be responsible for delays or outcomes resulting from processes handled by third-party institutions.

6.7

Users are encouraged to review transaction details carefully before confirmation and to report any issues within a reasonable timeframe after the transaction occurs.

6.8

Dashme reserves the right to suspend or restrict accounts involved in disputed or suspicious transactions where necessary.

7. Intellectual Property

7.1

All intellectual property rights in and to the Dashme Platform, including but not limited to its software, design, structure, interfaces, systems, content, trademarks, logos, and visual elements, are owned by Dashme Technologies LTD or its licensors.

7.2

The Platform and its components are protected by applicable intellectual property laws. All rights not expressly granted under these Terms are reserved.

7.3

Users are granted a limited, non-exclusive, non-transferable, and revocable right to access and use the Platform solely for its intended purpose, in accordance with these Terms.

7.4

Users may not: (a) copy, reproduce, modify, distribute, or create derivative works from any part of the Platform; (b) reverse engineer, decompile, or attempt to extract the source code or underlying structure of the Platform; (c) use the Platform or its components for commercial purposes outside of its intended use without prior authorization; (d) use Dashme’s name, branding, or visual identity without prior written consent.

7.5

By submitting or uploading any content or information through the Platform, Users grant Dashme a limited, non-exclusive, royalty-free license to use such content solely for the purpose of operating, improving, and maintaining the Platform, in accordance with applicable laws.

7.6

Dashme does not claim ownership of User content. Users remain responsible for the legality, accuracy, and rights associated with any content they provide.

7.7

Any unauthorized use of the Platform or its intellectual property may result in suspension of access and may give rise to legal action.

8. User Obligations and Acceptable Use

8.1

By accessing and using the Platform, you agree to comply with these Terms and with all applicable laws and regulations.

8.2

You are responsible for all activities conducted through your Account and for ensuring that your use of the Platform remains lawful, accurate, and appropriate.

8.3

You agree not to use the Platform: (a) for any unlawful, fraudulent, or abusive purpose; (b) to engage in any activity that may harm, disrupt, or interfere with the operation of the Platform or its systems; (c) to provide false, misleading, or inaccurate information; (d) to attempt to gain unauthorized access to any part of the Platform or related systems; (e) to use the Platform on behalf of a third party without proper authorization; (f) to engage in activities intended to manipulate or exploit transaction flows or system functionalities; (g) to use the Platform in a manner that may expose Dashme or its Partners to legal, regulatory, or reputational risk.

8.4

Users must ensure that all transactions initiated through the Platform are legitimate and comply with applicable requirements.

8.5

Dashme may monitor Platform usage and transaction activity for the purpose of ensuring security, compliance, and proper functioning of the services.

8.6

Dashme reserves the right to take appropriate action where necessary, including restricting or suspending access to the Platform, in order to protect the integrity of the system or comply with applicable obligations.

8.7

Failure to comply with this Section may result in suspension or termination of access to the Platform.

9. Limitation of Liability

9.1

Th e Platform and all services are provided on an “as is” and “as available” basis. While Dashme makes reasonable efforts to ensure the proper functioning of the Platform, it does not guarantee that the Platform will be uninterrupted, error-free, or fully secure at all times.

9.2

To the fullest extent permitted by applicable law, Dashme shall not be liable for any loss or damage arising from: (a) interruptions, delays, or technical issues affecting the Platform; (b) the use or inability to use the Platform or any of its functionalities; (c) unauthorized access to or use of a User’s Account; (d) errors, omissions, or inaccuracies in information provided through the Platform; (e) actions, decisions, or performance of third-party service providers, including financial institutions or payment service providers; (f) delays or failures in the processing of transactions due to external systems.

9.3

Dashme does not guarantee the execution, timing, or outcome of any transaction initiated through the Platform.

9.4

To the maximum extent permitted by law, Dashme shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of profits, revenue, business opportunities, or data.

9.5

Dashme shall not be responsible for any loss arising from incorrect or incomplete information provided by the User in relation to any transaction.

9.6

Users acknowledge that certain functionalities of the Platform depend on external systems, including financial infrastructures and third-party services, and that such dependencies may affect performance or availability.

9.7

Nothing in these Terms shall exclude or limit liability where such exclusion is not permitted under applicable law.

9.8

To the extent permitted by law, Dashme’s total liability arising out of or in connection with the use of the Platform shall be limited to the amount of fees (if any) paid by the User to Dashme in the three (3) months preceding the event giving rise to the claim.

10. Indemnification

10.1

You agree to indemnify, defend, and hold harmless Dashme Technologies LTD, its affiliates, directors, officers, employees, partners, and service providers from and against any claims, demands, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with: (a) your use or misuse of the Platform; (b) any activity conducted through your Account; (c) any breach of these Terms; (d) your violation of any applicable law or regulation; (e) any fraudulent, unlawful, or unauthorized activity associated with your use of the Platform; (f) any transaction initiated, authorized, or conducted by you; (g) any dispute between you and another User or third party; (h) any inaccurate or incomplete information provided by you.

10.2

Dashme reserves the right, at its own discretion, to assume the exclusive defense and control of any matter subject to indemnification. In such cases, you agree to cooperate fully with Dashme in the defense of such claims.

10.3

You may not settle any claim or matter affecting Dashme without prior written consent.

10.4

This indemnification obligation shall survive termination of your use of the Platform.

11. Suspension and Termination

11.1

Dashme reserves the right to suspend, restrict, or terminate a User’s access to the Platform or any of its functionalities at its discretion, where necessary.

11.2

Such action may be taken, including but not limited to, in cases of: (a) breach of these Terms; (b) suspected fraudulent, unlawful, or unauthorized activity; (c) failure to comply with verification or compliance requirements; (d) provision of inaccurate or misleading information; (e) risks related to security, system integrity, or Platform operations; (f) obligations arising from applicable laws, regulations, or requests from partners or authorities.

11.3

Dashme may also suspend or restrict access to specific features or services without fully terminating the Account, where appropriate.

11.4

Users may request to close their Account at any time, subject to the completion of any pending activities or obligations.

11.5

Following suspension or termination: (a) access to the Platform may be limited or discontinued; (b) certain functionalities may no longer be available; (c) any ongoing processes or transactions may be subject to review or completion procedures.

11.6

Dashme may retain certain information where required for legal, regulatory, or operational purposes.

11.7

Suspension or termination does not affect any rights or obligations that have accrued prior to such action.

12. Governing Law and Dispute Resolution

12.1

These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the applicable jurisdiction in which Dashme operates, unless otherwise required by mandatory law.

12.2

In the event of any dispute, Users are encouraged to contact Dashme first in order to seek an amicable resolution.

12.3

Where a dispute cannot be resolved amicably, it may be submitted to the competent courts or dispute resolution mechanisms in accordance with applicable laws.

12.4

Nothing in these Terms shall prevent Dashme from seeking injunctive or equitable relief where necessary to protect its rights, systems, or intellectual property.

13. Amendments

13.1

Dashme reserves the right to modify, update, or revise these Terms at any time in order to reflect changes in the Platform, applicable laws, regulatory requirements, or business operations.

13.2

Any updated version of these Terms will be made available through the Platform or communicated through appropriate channels.

13.3

Continued use of the Platform after any such update constitutes acceptance of the revised Terms.

13.4

Where required by applicable law, Users may be notified in advance of material changes, and continued use of the Platform following such notice shall be deemed as acceptance of the updated Terms.

13.5

If a User does not agree with any modification, they must discontinue use of the Platform.

14. Severability

14.1

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a competent authority, such provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable.

14.2

If such modification is not possible, the relevant provision shall be deemed severed from these Terms, without affecting the validity or enforceability of the remaining provisions.

14.3

The remaining provisions of these Terms shall continue in full force and effect.

15. Entire Agreement

15.1

These Terms constitute the entire agreement between you and Dashme in relation to your access to and use of the Platform and its services.

15.2

These Terms supersede and replace any prior agreements, communications, or understandings, whether written or oral, relating to the same subject matter.

15.3

Any additional terms or conditions that may apply to specific features, services, or third-party integrations shall be considered supplementary to these Terms and shall not override them unless expressly stated.

16. No Waiver

16.1

Any failure or delay by Dashme in exercising any right, power, or remedy under these Terms shall not constitute a waiver of such right, power, or remedy.

16.2

Any waiver of a right or provision must be expressly stated in writing to be effective.

16.3

A waiver of any specific breach or default shall not constitute a waiver of any subsequent breach or default.

17. Assignment

17.1

Dashme may assign, transfer, or otherwise deal with its rights and obligations under these Terms at any time, including in connection with a merger, acquisition, restructuring, or sale of assets.

17.2

Users may not assign, transfer, or otherwise deal with their rights or obligations under these Terms without the prior written consent of Dashme.

17.3

Any attempted assignment by a User without such consent shall be null and void.

18. Force Majeure

18.1

Dashme shall not be liable for any failure or delay in the performance of its obligations under these Terms where such failure or delay results from events beyond its reasonable control.

18.2

Such events may include, but are not limited to: (a) acts of God, natural disasters, or extreme weather conditions; (b) war, civil unrest, or acts of terrorism; (c) governmental actions, regulatory changes, or legal restrictions; (d) failures or disruptions of telecommunications, internet services, or external systems; (e) failures of third-party service providers, including financial institutions or Payment Service Providers.

18.3

Duri ng the occurrence of such events, Dashme’s obligations shall be suspended to the extent affected by the Force Majeure event.

18.4

Dashme will make reasonable efforts to resume normal operations as soon as practicable.

19. Third-Party Services

19.1

The Platform may integrate with or rely on third-party services, including financial institutions, Payment Service Providers, and other external systems, in order to enable certain functionalities.

19.2

Such third-party services operate independently from Dashme and may be subject to their own terms, conditions, and policies.

19.3

Dashme does not control and is not responsible for the availability, performance, or reliability of third-party services.

19.4

Users acknowledge that the use of certain functionalities of the Platform may require interaction with such third-party services and may be subject to additional requirements or conditions.

19.5

Dashme shall not be liable for any loss, delay, error, or failure resulting from the actions, omissions, or performance of third-party service providers.

19.6

Dashme may modify, replace, or discontinue integrations with third-party services at any time, without prior notice where necessary.

20. Data and Privacy

20.1

Dashme collects, processes, and uses personal data in connection with the operation of the Platform and the provision of its services.

20.2

Such data may include information provided by Users during registration, verification, and use of the Platform, as well as technical and usage data.

20.3

Dashme processes personal data in accordance with applicable data protection laws and its Privacy Policy.

20.4

Users acknowledge that certain data may be shared with Partners, including financial institutions and Payment Service Providers, where necessary to enable functionalities, ensure compliance, or process transactions.

20.5

Dashme implements reasonable measures to protect personal data; however, no system can guarantee absolute security.

20.6

By using the Platform, Users consent to the collection and processing of their data as described in these Terms and the applicable Privacy Policy.

20.7

Users may have rights in relation to their personal data, including access, correction, or deletion, in accordance with applicable laws.

21. Electronic Communications

21.1

By using the Platform, you agree to receive communications from Dashme in electronic form, including through the Platform, email, or other digital channels.

21.2

Such communications may include: (a) service-related notifications; (b) updates to the Platform or Terms; (c) security alerts or account-related messages; (d) information regarding transactions or activity.

21.3

You acknowledge that electronic communications satisfy any legal requirement that such communications be in writing.

21.4

It is your responsibility to ensure that your contact details are accurate and up to date in order to receive such communications.

21.5

Dashme shall not be responsible for any loss or delay resulting from failure to receive communications due to inaccurate or outdated contact information.

22. Complaints

22.1

If you have any issues, concerns, or complaints relating to the Platform or Services, you may contact our customer support team via info@dashme.ng or any other official communication channel notified on the Platform.

22.2

Complaints should include sufficient details to allow proper investigation, including a description of the issue, relevant transaction details, account information, and any supporting evidence where available.

22.3

We will acknowledge receipt of complaints within a reasonable time and will use reasonable efforts to investigate and respond within a commercially reasonable timeframe, taking into account the nature and complexity of the complaint.

23. Sanctions for Breaches

23.1

Without prejudice to any other rights or remedies under these Terms or applicable law, conduct, or material breach of these Terms. Such measures may include: a. Suspension, restriction, or termination of access to the Platform or Services; b. Preventing future access to the Platform; c. Reporting the matter to relevant financial institutions, regulatory authorities, or law enforcement agencies; and d. Initiating civil or criminal proceedings where appropriate.

23.2

Any enforcement action may take effect immediately upon notice to the User or, where necessary to protect the Platform, other Users, or third parties, without prior notice, subject to applicable law.

23.3

Users acknowledge that fraudulent, abusive, or unlawful use of the Platform may give rise to civil liability, criminal prosecution, and obligations to compensate affected parties.

24. Taxes

24.1

All transaction fees, service charges, subscription fees, or other applicable charges on the Platform are exclusive of applicable taxes unless otherwise stated.

24.2

For transactions processed through the Platform, applicable taxes (including Value Added Tax (VAT) or other indirect taxes) may be added to the transaction amount and remitted to the relevant tax authority in accordance with applicable law.

24.3

Users are solely responsible for determining, reporting, and paying all taxes arising from transactions conducted through the Platform, including peer-to-peer payments, merchant transactions, or other financial activities. Dashme does not collect, withhold, or remit taxes on user-to-user transactions unless required by law.

24.4

Users are encouraged to seek independent professional advice to ensure full compliance with all applicable tax laws.

24.5

Users accessing or using the Platform from outside Nigeria remain responsible for compliance with all tax, exchange control, and reporting obligations in their jurisdiction.

25. Dispute Resolution

25.1

The parties shall make all reasonable efforts to resolve any dispute, controversy, or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity, interpretation, performance, or termination (the “Dispute”), through good faith negotiations within twenty-one (21) days from the date either Party notifies the other of the existence of such Dispute.

25.2

If the Dispute is not resolved within the period stated in Clause 37.1, the Parties shall submit the matter to mediation under the Arbitration and Mediation Act, 2023, or any statutory modification or re-enactment thereof. The mediation shall be conducted by a mediator mutually agreed upon by the Parties; failing such agreement, a mediator shall be appointed in accordance with the Act.

25.3

If the Dispute is not resolved within thirty (30) days from the commencement of mediation, or any mutually agreed extension, the Dispute shall be finally resolved by arbitration under the Arbitration and Mediation Act, 2023, or any statutory modification or re-enactment thereof. The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement of the Parties, failing which the arbitrator shall be appointed in accordance with the Act. The arbitration award shall be final, binding, and enforceable in any court of competent jurisdiction in Nigeria.

25.4

Nothing in this Clause shall prevent any Party from seeking urgent interim reliefs, including injunctive or preservatory orders, from a court of competent jurisdiction where necessary to protect its rights pending the resolution of the Dispute.
